These terms apply to advertising, sponsored features, directory listings and other commercial placements booked on Kaizenaire.com with Kaizenaire Pte. Ltd. (“Kaizenaire”, “we”, “us”). They apply alongside our Terms of Service and Sponsored Content Policy.

1. Bookings

A booking is confirmed when we have accepted it in writing and, where applicable, payment or a deposit has been received. We may decline any booking without giving a reason.

2. What is being bought

You are buying the placement described in your booking. You are not buying editorial coverage, a position in any editorial ranking or “best of” guide, removal of the sponsorship label, dofollow links, or any guaranteed level of traffic, ranking, enquiries or sales.

3. Materials and warranties

Where you supply copy, images, logos or other materials, you confirm that you own them or are licensed to use them, that they do not infringe anyone’s rights, and that the claims in them are accurate and comply with Singapore law, including the Singapore Code of Advertising Practice and any regulations applying to your industry.

You grant us a licence to publish, host and adapt those materials for the placement, and to reference the published placement in our own promotion.

4. Approval and changes

You will be given a draft to approve before a sponsored feature or listing is published. We may ask for changes, or decline to publish, where we believe content would mislead readers or breach law or policy. Once published, reasonable factual updates are made free of charge.

5. Labelling

All paid placements are labelled as sponsored and outbound links are marked rel="sponsored". This is not optional and is not removable.

6. Publication and delivery

We will use reasonable efforts to publish on the agreed date and to deliver the agreed placements. We are not liable for delays caused by late materials, late approvals, or events outside our reasonable control. Where a display placement under-delivers materially, we will extend the flight or provide equivalent inventory.

7. Duration and removal

Sponsored features and directory listings remain published indefinitely unless we agree otherwise. If you ask us to remove a placement, we will do so where reasonably practicable, but fees already paid are not refundable on that basis.

8. Fees and payment

Fees are as quoted at the time of booking and are payable on the terms stated on the invoice. Rates may change for future bookings. Quoted fees exclude any taxes that may apply.

9. Cancellation

Cancellation before work has started: no charge. Cancellation after a draft has been produced but before publication: 50% of the fee. Cancellation after publication: the full fee. For display campaigns, cancellation before the flight starts: no charge; during the flight: pro-rated to delivery.

10. Indemnity

You indemnify us against any claim, loss or expense arising from the materials you supply or the claims made in your placement.

11. Liability

To the fullest extent permitted by law, our total liability in connection with a booking is limited to the fees paid for that booking, and we exclude liability for indirect or consequential loss and for loss of profit, revenue, business or goodwill.

12. Governing law

These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction.
